Cars Commerce Announces Inducement Awards Under NYSE Listing Rule 303A.08

CHICAGO, Dec. 23, 2025 /PRNewswire/ — Cars.com Inc. (NYSE: CARS) (d/b/a “Cars Commerce Inc.”) (“Cars Commerce” or the “Company”), today announced that on December 22, 2025, the Company granted performance-based stock unit awards (the “PSUs”) and restricted stock units (the “RSUs”) covering 155,885 shares and 233,827 shares of the Company’s common stock, respectively, (the “Inducement Awards”) to Tobias Hartmann.  A majority of the independent members of the Company’s Board of Directors approved the grant of the Inducement Awards to Mr. Hartmann, which awards were offered as a material inducement to Mr. Hartmann’s hiring as Chief Executive Officer-Designate  on December 22, 2025 and made under the Cars.com Inc. 2025 Inducement Equity Plan. The RSUs vest ratably over three years and the PSUs vest over a three-year performance period subject to the achievement of specified stock price targets for the Company’s common stock determined by the Board of Directors, in each case, subject to Mr. Hartmann’s continued employment with the Company through each vesting date.

The awards were granted in reliance on the employment inducement exemption under the NYSE’s Listed Company Manual Rule 303A.08, which requires public announcement of inducement awards. The company is issuing this press release pursuant to Rule 303A.08.

British crypto holders may soon face a very different landscape as the Financial Conduct Authority (FCA) moves to expand its regulatory reach in the industry. A new consultation paper outlines how the watchdog intends to apply its rulebook to crypto firms, shaping everything from asset safeguarding to trading platform operation. According to the financial regulator, these proposals would translate into clearer protections for retail investors and stricter oversight of crypto firms. UK FCA plans Until now, UK crypto users mostly encountered the FCA through rules on promotions and anti-money laundering checks. The consultation paper goes much further. It proposes direct oversight of stablecoin issuers, custodians, and crypto-asset trading platforms (CATPs). For investors, that means the wallets, exchanges, and coins they rely on could soon be subject to the same governance and resilience standards as traditional financial institutions. The regulator has also clarified that firms need official authorization before serving customers. This condition should, in theory, reduce the risk of sudden platform failures or unclear accountability. David Geale, the FCA’s executive director of payments and digital finance, said the proposals are designed to strike a balance between innovation and protection. He explained: “We want to develop a sustainable and competitive crypto sector – balancing innovation, market integrity and trust.” Geale noted that while the rules will not eliminate investment risks, they will create consistent standards, helping consumers understand what to expect from registered firms. Why does this matter for crypto holders? The UK regulatory framework shift would provide safer custody of assets, better disclosure of risks, and clearer recourse if something goes wrong. However, the regulator was also frank in its submission, arguing that no rulebook can eliminate the volatility or inherent risks of holding digital assets.
