Republic Europe has launched an SPV to allow European retail investors indirect equity in Kraken before its potential 2026 IPO, potentially valued at $20 billion.

Republic Europe introduces a Special Purpose Vehicle (SPV) for European retail investors, facilitating indirect investment in Kraken ahead of its potential IPO.

This initiative enables retail investors to participate in a high-growth opportunity usually restricted to institutional players, reflecting Republic Europe’s commitment to democratizing private markets.

Republic Europe Offers SPV for Kraken IPO

Republic Europe is spearheading a groundbreaking venture with the launch of an SPV for European investors. This development aligns with Kraken’s confidential SEC filing for a potential IPO by early 2026, emphasizing Republic’s role in broadening investment access.

Kraken, a significant player with over 13 million users, aims to debut on public markets amid strong revenue growth. The SPV provides indirect stake-holding through secondary shares, expanding retail investors’ opportunities. Theodora Bishop, Senior Investment Manager at Republic Europe, stated:

SPV Could Revolutionize Retail Investor Access

The introduction of this SPV could reshape retail investment access to private equity, traditionally limited to institutional investors. This move potentially alters how digital asset exchange opportunities are structured for small investors.

Financial implications are significant as retail investors gain entry to Kraken’s pre-IPO setup, warranting greater public participation in high-value crypto spaces. The SPV is regulatory-compliant, ensuring access within European laws.

First European Retail SPV in Crypto Industry

Republic’s retail SPV for a crypto exchange marks a first in the European market, reflecting increasing retail access to private investments. Historically, similar structures catered only to larger, institutional players.

Investors’ indirect exposure to Kraken’s equity, devoid of direct crypto-assets influence, underscores a strategic shift in investment opportunities. This approach mirrors private equity strategies, adjusting to revival trends in crypto exchange markets.

(Photo by Paul Natkin/Getty Images) Getty Images Singer Lou Gramm has a vivid memory of recording the ballad “Waiting for a Girl Like You” at New York City’s Electric Lady Studio for his band Foreigner more than 40 years ago. Gramm was adding his vocals for the track in the control room on the other side of the glass when he noticed a beautiful woman walking through the door. “She sits on the sofa in front of the board,” he says. “She looked at me while I was singing. And every now and then, she had a little smile on her face. I’m not sure what that was, but it was driving me crazy. “And at the end of the song, when I’m singing the ad-libs and stuff like that, she gets up,” he continues. “She gives me a little smile and walks out of the room. And when the song ended, I would look up every now and then to see where Mick [Jones] and Mutt [Lange] were, and they were pushing buttons and turning knobs. They were not aware that she was even in the room. So when the song ended, I said, ‘Guys, who was that woman who walked in? She was beautiful.’ And they looked at each other, and they went, ‘What are you talking about? We didn’t see anything.’ But you know what? I think they put her up to it. Doesn’t that sound more like them?” “Waiting for a Girl Like You” became a massive hit in 1981 for Foreigner off their album 4, which peaked at number one on the Billboard chart for 10 weeks and…
