REAL Finance Secures First $100M Institutional Tokenization Deal With Factori AD

Today, Factori AD, a fully licensed and EU-regulated investment broker offering brokerage, OTC execution, custody, and investment advisory services, signed its first securities tokenization deal with REAL Technologies Inc., the parent company of REAL Finance.

The agreement is the first live implementation of REAL Finance’s tokenization infrastructure for regulated securities and activates a dedicated institutional pipeline with more than $100 million in client assets.

As part of the partnership, Factori AD will oversee all regulated brokerage operations, such as customer onboarding, KYC, AML compliance, licensed OTC execution, and segregated custody arrangements, while directing institutional and client funds via REAL’s infrastructure. The Central Depository in Bulgaria will hold Bulgarian securities, while the Bank of New York will handle the safekeeping of international assets.

Equity derivatives connected to Alpha Bulgaria AD, a publicly traded investment firm with the symbol ALFB on the Bulgarian Stock Exchange, are the subject of the first transaction under the agreement. The 5,000,000 warrants in the pilot, which are now worth around €2.75 each, have been set aside for tokenization using REAL’s infrastructure in accordance with Factori AD’s licensed custody and transfer-agent architecture. With Factori AD pledging over $100 million in further client assets for tokenization using REAL’s infrastructure, the deal is the first phase of a larger institutional pipeline.

The transaction is intended to verify the whole tokenized securities process, including regulated sourcing, licensed OTC execution, regulated custody, and on-chain tokenization. It will be carried out on an EVM-compatible blockchain prior to the anticipated launch of REAL Finance’s Layer 1 mainnet.

Instead of using synthetic exposure products, the REAL Finance model only concentrates on tokenizing real securities, such as bonds, private market shares, and publicly traded stocks and derivatives. While licensed brokers and issuers are still in charge of the underlying securities and compliance requirements, the firm functions as the infrastructure and settlement layer.
